2. Terms and Credit
Client agrees to provide upfront payment equal to one-half the patent project fees. When the patent project is complete, ProdyoVidhi will promptly notify Client regarding the balance amount of the fees payable.
Client agrees to pay ProdyoVidhi for all services and fees authorized by Client in accordance with ProdyoVidhi’s quoted price and rates at the commencement of the patent project. Payment is due by the date indicated on the invoice. Payments more than 15 days late will be subject to a charge of three percent (3%) per month or the maximum rate of interest allowed by law, whichever is less. Returned checks will result in a twenty five dollar ($25.00) fee to be charged to the Client. Returned receipts from a debit account will result in twenty five dollars ($25.00) fee to be charged to the Client.
In the event of any litigation, arbitration, or other dispute resolution proceeding arising out of any dispute related to these terms, the non-prevailing party will be liable to the other party for all costs, attorney fees, and other expenses incurred by the prevailing party in connection with such proceeding.
These terms and conditions shall be governed by and interpreted in accordance with the laws of India. Client expressly consents to the India state and federal courts exercising personal jurisdiction over Client in the event of any dispute relating to these terms and conditions or the services provided by ProdyoVidhi.
3. Supervision
Client represents and agrees that: Client is a licensed attorney in the state(s) in which he/she practices and has and will continue to direct and supervise any research conducted by ProdyoVidhi, its members, contractors, and/or employees on Client’s behalf as may be necessary or appropriate to discharge Client’s professional responsibility. Client agrees that in Client’s professional judgment this is satisfactorily accomplished by (a) instructing ProdyoVidhi as to the specific legal issue(s) to be research, the controlling law/jurisdiction, the legal sources to be research, and the subject matter of the law involved and statement of the issue; (b) Client’s thorough, independent review of the results and product delivered to Client by ProdyoVidhi; and (c) providing to ProdyoVidhi such further instructions as Client deems necessary.
4. Delays or Errors
ProdyoVidhi shall not be liable or held responsible for any delays or errors in the services provided to Client which may result in damages, whether direct, indirect or consequential. In no event shall ProdyoVidhi be responsible for any alleged loss of profits, damages or other expenses alleged to have been incurred by Client in connection with services provided under this Agreement. Any claims in this respect are expressly waived by Client.
5. Litigation, Arbitration, Dispute resolution
In the event of any litigation, arbitration, or other dispute resolution proceeding arising out of any dispute related to this Agreement, the non-prevailing party will be liable to the other party for all costs, attorney fees, and other expenses incurred by the prevailing party in connection with such proceeding.
This Agreement shall be governed by and interpreted in accordance with the laws that come under the jurisdiction of the High Court of Karnataka, India. If any provisions of this Agreement are determined to be illegal or unenforceable, the remaining provisions shall nevertheless be binding, with the same force and effect as if the illegal or unenforceable parts were deleted. Client expressly consents to the High Court of Karnataka and federal courts exercising personal jurisdiction over Client in the event of any dispute relating to this Agreement.
Client acknowledges that it possesses a legal and business acumen at least equal to ProdyoVidhi, that it has had a full opportunity to review this Agreement with counsel of its choice, that all of the terms of this Agreement have been fully negotiated; and, therefore, in the event any term is determined to be vague or ambiguous, such term will not be construed against ProdyoVidhi because ProdyoVidhi’s counsel drafted this Agreement.
6. Your Personal Information
ProdyoVidhi does not collect personally identifiable information about you, such as your name, address, telephone number, fax number, e-mail address, etc., unless you email us or choose to fill out a “Contact Us” or other form found on the website.
7. Security on Personal Information
ProdyoVidhi employs security measures to prevent unauthorized access to information that we collect online. However, we cannot guarantee the security of your personal information.
8. Privacy of Personal Information
ProdyoVidhi may use the personally identifiable information you provide to respond to your inquiry, in connection with legal representation, or as required by law, but will otherwise not share, rent, or sell your personally identifiable information outside ProdyoVidhi. However, we cannot guarantee the privacy of personal information you transmit over the web that others may collect.

WORK PRODUCT PURCHASED FROM, OR OTHERWISE PROVIDED IN ANY WAY BY PRODYOVIDHI, DO NOT CONSTITUTE LEGAL OPINIONS OR LEGAL ADVICE AND ARE PREPARED SOLELY FOR REVIEW BY THE LAWYER USING PRODYOVIDHI.
PRODYOVIDHI EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SERVICES IT PROVIDES.
